Kelaparan.com? – Vendor Terms & Conditions

These Vendor Terms & Conditions (“Terms”) govern the registration and participation of sellers (“Vendors” or “Merchants”) on Kelaparan.com? (“Platform”). By registering as a Vendor, you agree to comply with these Terms, applicable Indonesian laws, and any future policies issued by Kelaparan.com?.

1. Vendor Registration

  1. Vendors must provide accurate and current business information, including company name, address, NPWP (if applicable), bank details, and contact information.
  2. Kelaparan.com may verify the Vendor’s identity and request supporting documents.
  3. Vendor approval is solely at Kelaparan.com?’s discretion.

2. Product Listing & Compliance

  1. Vendors are responsible for ensuring that all listed products are legal, safe, genuine, and comply with Indonesian regulations.
  2. Prohibited items include counterfeit goods, hazardous materials, illegal items, and products restricted by Indonesian law or GoSend policy.
  3. Kelaparan.com? may suspend, modify, or remove any listing that violates legal or platform requirements.

3. Pricing & Payments (No Shipping Cost Included in Product Price)

3.1 Pricing Rules

  1. Vendors independently determine the selling price of their products.
  2. Product prices listed on Kelaparan.com must exclude any shipping or delivery cost.
  3. Delivery fees—if any—are handled by Kelaparan.com through its GoSend integration and will not be deducted from the Vendor’s payout.
  4. Only administrative commission will be deducted from Vendor earnings.

3.2 Payment Processing

  1. All customer transactions are processed through Kelaparan.com?’s integrated payment system.
  2. Vendor payouts are released after order completion according to Kelaparan.com?’s settlement cycle (typically 1–5 business days).
  3. The Vendor receives a net payout, i.e., the product price minus the administrative commission.

4. Commission & Fees

  1. Kelaparan.com? charges a 20% administrative commission on every successful order.
  2. The 20% commission includes:
    • PPN 11% in compliance with Indonesian VAT laws
    • Payment Gateway Fees
    • Platform Usage Service Fees
  3. The commission is automatically deducted before payout.
  4. Vendors receive the remainder as their final net income.

5. Pricing and Commission Calculation Example (Without Shipping Costs)

Vendor’s internal pricing:

  • Product cost (modal): Rp 15.000
  • Desired profit: Rp 15.000

Step 1 – Minimum Net Required

Vendor needs:
Rp 15.000 + Rp 15.000 = Rp 30.000

Step 2 – Gross Up for Platform Commission (20%)

Formula:
Final Price = Net Amount ÷ (1 – 0.2)
Final Price = Rp 30.000 ÷ 0.8 = Rp 37.500

Step 3 – Transaction Example

  • Customer pays: Rp 37.500
  • Platform commission (20%): Rp 7.500
  • Vendor receives: Rp 30.000

Step 4 – Profit Confirmation

  • Vendor modal: Rp 15.000
  • Vendor profit: Rp 15.000

6. Taxes & Invoicing

  1. Vendors are responsible for tax compliance related to their earnings (including PPh).
  2. Kelaparan.com issues tax invoices for the administrative commission charged (including PPN).
  3. Vendors registered as PKP may request relevant tax documents.

7. Order Fulfillment & Customer Service

  1. Vendors must prepare products promptly and ensure accurate fulfillment.
  2. Kelaparan.com? and GoSend handle the delivery fee and logistics process; Vendors are not responsible for shipping costs.
  3. Vendors must provide accurate product descriptions and honor all orders.
  4. Customer complaints and returns must be handled in accordance with Kelaparan.com’s Refund & Return Policy.
  5. Repeated fulfillment failures may result in penalties or account suspension.

8. Intellectual Property

  1. Vendors must ensure that product images, descriptions, and content do not infringe the intellectual property rights of third parties.
  2. Kelaparan.com? may remove content suspected of IP violations.

9. Termination & Suspension

  1. Kelaparan.com may suspend or terminate Vendor accounts for fraud, repeated violations, poor service, or breach of these Terms.
  2. Vendors may request account closure by written notice.

10. Limitation of Liability

  1. Kelaparan.com? is a marketplace intermediary and not a direct party to the sale contract.
  2. Kelaparan.com? is not responsible for product faults or packaging errors caused by the Vendor.
  3. Kelaparan.com? is not liable for delivery failures attributable to Vendor-side delays (e.g., order not ready).

11. Governing Law & Dispute Resolution

  1. These Terms are governed by Indonesian law.
  2. Disputes should be resolved amicably first.
  3. If unresolved, disputes fall under the jurisdiction of the District Court of Kota Serang.

12. Amendments

Kelaparan.com? may revise these Terms at any time. Updates take effect once published on the Platform.
